1Acceptance of Terms
This End User License Agreement is a legally binding contract between you . whether an individual or a legal business entity and Berry Technology, governing your access to and use of Cross , a cloud-based SaaS platform that integrates with QuickBooks Online.
1.1 Agreement to Be Bound
By performing any of the following actions, you confirm that you have read, understood, and agree to be legally bound by this End User License Agreement and our Privacy Policy:
- 🖱️Clicking 'I Agree', 'Accept', or equivalent during registration
- 🌐Accessing, installing, or using any part of the Service
- 🔑Authorizing our platform to connect with your QBO account via OAuth 2.0
If you do not agree, you must immediately cease use of the Service.
1.2 Authority to Accept
If accepting on behalf of a business, you represent that you have full legal authority to bind that entity to this Agreement and all registration info is accurate.
1.3 Relationship to Intuit
Your use of QBO remains separately governed by Intuit's own Terms of Service.Berry Technology is an independent software vendor and not affiliated with Intuit Inc.
2Description of Service
Cross is a cloud-based SaaS platform designed to integrate with QuickBooks Online via the Intuit API to streamline the generation and printing of financial documents for businesses.
2.1 Core Service Features

| Voucher Printing | Produce payment vouchers with reference numbers, account codes, and payment records from QBO. |
| Company Branding | Automatically populate documents with your business name, address, and logo from your QBO profile. |
| Template Management | Save, customize, and manage print layout templates within the platform. |
| Print Preview & Export | Preview documents before printing and export to PDF for digital record keeping. |
2.2 QuickBooks Online Integration
The Service connects to your QBO account exclusively through Intuit's OAuth 2.0 authorization framework. We access only the data necessary to populate and render your requested print documents.
⚠️ 2.3 Service Availability
Availability may be affected by:
- Scheduled or emergency maintenance windows
- Intuit API downtime or rate limiting events
- Force majeure events (natural disasters, infrastructure failures)
2.4 Service Updates & Modifications
Where a modification materially reduces core functionality, we will provide no less than 14 days' notice to active users before changes take effect.
3User Responsibilities
3.1 Acceptable Use
You agree to use the Service only for legitimate generation and printing of business documents.
Strictly Prohibited Actions:
- ✕Fraudulent or unlawful document generation
- ✕Printing on behalf of third parties without authorization
- ✕Using false or misleading financial information
- ✕Circumventing security or authentication features
- ✕Reselling or commercially exploiting the Service
- ✕Using automated bots or scripts to access the Service
3.2 QBO Compliance
Your use must comply with Intuit's Terms of Service and Developer Platform Policies. Violation may result in suspension of both QBO integration and platform access.

3.4 Data Accuracy
You are solely responsible for the data in your QBO account. We are not liable for print errors resulting from inaccurate or outdated QBO records.
3.5 Regulatory Compliance
Ensure your use complies with local financial, tax, and business regulations. We do not provide legal, accounting, or financial advice.
4Limitations of Liability
4.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.
- Service will be uninterrupted or error-free
- Print output will be free from QBO data defects
- Compatible with all printers or OS environments
- Errors will be corrected within a specific timeframe
4.2 Limitation of Liability

Liability Cap
Our total cumulative liability shall not exceed the greater of the fees paid by you in the preceding 3 months, or USD $100.00.
4.3 Third Party Service Liability
We are not liable for failures caused by Intuit Inc., QBO platform outages, internet service providers, or your local print hardware.
4.4 Indemnification
You agree to defend and hold harmless Berry Technology from claims arising from your breach of this agreement, violation of law, or misuse of the Service.
5Intellectual Property
5.1 Ownership of the Service
Berry Technology exclusively owns all right, title, and interest in and to the Service. Nothing in this Agreement transfers any ownership rights to you.

Software code, algorithms, and architecture
Design Elements
User interfaces, templates, and visual elements
Brand Assets
Trademarks, service marks, and logos
Documentation
Guides, support materials, and manuals
5.2 License Grant
Subject to compliance, we grant you a:

You may not, without our prior written consent:
- • Copy, modify, or create derivative works
- • Reverse engineer or decompile the Service
- • Remove proprietary or copyright markings
- • Impliedly suggest endorsement via our logo
5.4 Your Data & Content
You retain full ownership of all data you bring into the Service, including your QuickBooks Online data. By using the Service, you grant us a limited license to process your data solely to deliver the Service functionality.
6Termination
6.1 Termination by You
You may terminate this Agreement at any time by:
- • Cancelling through your dashboard or berrytechnology.lk
- • Revoking QBO integration via Intuit settings
- • Submitting a formal account closure request
6.2 Termination by Us

Where feasible, we provide a 7-day cure period for non-willful breaches.
6.3 Effect of Termination
Immediate Revocation
Your license to use the Service is immediately revoked.
Token Invalidation
Active OAuth 2.0 tokens connecting to QBO will be invalidated.
Data Retention
Data is retained for 30 days for retrieval, then permanently deleted.
Outstanding Dues
Any outstanding payment obligations remain due and payable.

We reserve the right to update or replace any part of this EULA to reflect:

Website Update
Published at crossbooks.online/eula with revised date.
Email Alert
Sent to all users 14 days prior to material changes.
In-Platform
Acknowledgment required upon your next login.
7.3 Acceptance of Updated Terms

We commit to responding to all EULA-related inquiries within 5 business days.
8.2 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.
8.3 Dispute Resolution
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
If resolution cannot be reached, either party may pursue legal remedies under Sri Lankan law.
8.4 Severability & Entire Agreement
If any provision is found unenforceable, it will be modified to the minimum extent necessary. This EULA and our Privacy Policy constitute the entire agreement between you and Berry Technology.
